1. Applicability

These General Terms and Conditions (“Rapid Reset Terms”) apply to the website owned, operated, and maintained by or on behalf of Rapid Reset and its affiliates (collectively, “Rapid Reset”, “we”, “us”, or “our”) and the products (including Rapid Reset vehicles), content, services, data, software, and tools accessed or sold through Rapid Reset’s websites, such as rapidreset.co.za (the “Sites”), applications (including mobile applications), vehicles, at Rapid Reset events, or at Rapid Reset’s physical locations in the Republic of South Africa (each a “Service” and collectively the “Services”).

In the event of a conflict between these Rapid Reset Terms and any signed written contract between you and Rapid Reset, the signed contract shall control to the extent of such conflict.

These Rapid Reset Terms are intended for use in South Africa and are governed exclusively by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 (“CPA”), the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”), the Protection of Personal Information Act 4 of 2013 (“POPIA”), and the Copyright Act 98 of 1978, as applicable.

Please read these Rapid Reset Terms carefully. They contain important information about your rights and obligations.

By creating a Rapid Reset account, using Rapid Reset mobile applications or websites, placing an order for a Rapid Reset vehicle or other products or services (including charging and vehicle service), you accept and are bound by these Rapid Reset Terms.

You may not order or obtain products or services from Rapid Reset if you (a) do not agree to these Rapid Reset Terms; (b) are not at least 18 years of age (the age of majority in South Africa) and legally competent to enter into a binding contract; or (c) are prohibited from accessing or using the Sites, goods, or services by applicable South African law.

Nothing in these Rapid Reset Terms is intended to exclude, limit, or waive any rights you have as a consumer under the CPA or any other South African law that cannot lawfully be excluded or limited.

2. Dispute Resolution

Informal resolution

Most disputes can be resolved without formal proceedings. Before commencing any formal claim, you and Rapid Reset agree to attempt in good faith to resolve the dispute. Contact us at legal@rapidreset.co.za with a brief written description of the dispute and your contact details (including your Rapid Reset account identifier, if any). We will respond using the contact information on your account. Reasonable efforts to settle the dispute directly are a precondition to either party commencing formal proceedings, except where urgent interim relief is required.

Consumer forums and ombuds

If you are a consumer under the CPA, you may pursue remedies available to you under South African law, including (where applicable) the Small Claims Court, the National Consumer Commission, an accredited industry ombud (such as the Motor Industry Ombudsman of South Africa for motor vehicle matters), or any other competent forum. Nothing in these Rapid Reset Terms prevents you from exercising those statutory rights.

Courts of South Africa

Subject to the informal resolution step above and any mandatory consumer remedies, disputes arising out of or in connection with these Rapid Reset Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

Optional arbitration

Where both parties agree in writing after a dispute has arisen, the dispute may be referred to arbitration in South Africa under the Arbitration Act 42 of 1965, administered by an agreed local arbitral body (for example, the Arbitration Foundation of Southern Africa), seated in South Africa, and conducted in English. Arbitration is optional and does not limit your non-waivable consumer rights under the CPA.

No waiver of statutory class or group proceedings

These Rapid Reset Terms do not waive any right you may have under South African law to participate in class, group, or representative proceedings to the extent such rights are conferred by statute or the courts. Any term that would unlawfully restrict such rights is of no force or effect.

3. Rapid Reset Account

To use many of Rapid Reset’s products and Services, you may be required to create and maintain a personal account (the “Rapid Reset Account”). An account may be created when you order Rapid Reset products. You can access that account by setting a password. Account creation may require personal and payment information, which is processed in accordance with our Privacy Policies and applicable payment terms.

You agree to keep complete, accurate, and up-to-date information in your Rapid Reset Account. You are responsible for activity that occurs under your account and must keep your username and password secure. You must not share your credentials with unapproved third-party applications, websites, or software. You must ensure that any other users to whom you grant access (including via a physical key, keycard, or other access device) are aware of these Rapid Reset Terms and our Privacy Policies.

4. Messages, Notifications, and Telephone Calls

By providing your mobile number or email address, and where required by law giving your consent, you agree that Rapid Reset may contact you by SMS, WhatsApp, voice call, or email about your account, orders, vehicles, appointments, service, charging, and related product communications. Marketing communications will only be sent where permitted under POPIA, the CPA, and the Direct Marketing Association of South Africa code (as applicable), including where you have opted in or another lawful basis applies.

Providing a mobile number and consenting to receive calls or SMS messages is not a condition of purchase unless clearly stated and permitted by law. Message and data rates may apply depending on your mobile network operator (including MTN, Vodacom, Cell C, Telkom Mobile, and other South African carriers). Carriers are not liable for delayed or undelivered messages.

You may opt out of marketing SMS by replying “STOP”, or of marketing email using the unsubscribe link. Service-related messages about your orders, vehicle, or safety may still be sent where necessary. For other privacy rights, contact privacy@rapidreset.co.za or see our Privacy Policies.

5. Indemnity

To the fullest extent permitted under South African law, and without limiting any non-waivable consumer rights under the CPA, you agree to indemnify and hold harmless Rapid Reset and its affiliates, and their directors, officers, employees, and agents, from claims, losses, damages, costs, and reasonable legal fees arising out of your unlawful use of the Sites or Services, your material breach of these Rapid Reset Terms, or your infringement of another person’s rights, except to the extent caused by Rapid Reset’s gross negligence or wilful misconduct.

6. Limitation of Liability

Nothing in these Rapid Reset Terms excludes or limits liability that cannot be excluded or limited under South African law, including liability for death or personal injury caused by negligence where such exclusion is unlawful, fraud or fraudulent misrepresentation, or rights and remedies that the CPA grants to consumers in respect of defective goods or services.

Subject to the paragraph above, Rapid Reset and its affiliates will not be liable for consequential, indirect, incidental, special, or punitive damages arising out of or in connection with these Rapid Reset Terms or the Services, whether in contract, delict, or otherwise, to the extent such exclusion is permitted by law.

Subject to the same qualifications, Rapid Reset’s aggregate liability arising out of or related to these Rapid Reset Terms shall not exceed the total amounts you paid to Rapid Reset for the specific Service giving rise to the claim during the twelve (12) months preceding the claim.

If you experience a problem with the Sites alone, your sole remedy in respect of the Sites (subject to non-waivable rights) is to stop using the Sites.

7. Force Majeure

Neither party will be liable for failure or delay in performance under these Rapid Reset Terms (except for payment obligations) to the extent caused by circumstances beyond reasonable control, including acts of God, flood, fire, earthquake, explosion, epidemic, governmental actions, war, civil unrest, strikes or labour disputes, carrier restraints, supply shortages, telecommunications failures, or power outages.

8. Severability

If any provision of these Rapid Reset Terms is held illegal, invalid, or unenforceable by a competent South African authority, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions continue in full force and effect.

9. Vehicle Wireless Connectivity

Rapid Reset vehicles may be internet-connected and may use third-party wireless carrier services in South Africa for connectivity features. Access to or use of a Rapid Reset vehicle and its connectivity features is subject to these Rapid Reset Terms.

You acknowledge that: (1) you generally have no direct contractual relationship with the underlying wireless carrier unless stated otherwise; (2) you are not a third-party beneficiary of Rapid Reset’s agreements with carriers; (3) data transmissions may be delayed, deleted, or undelivered; (4) emergency calls (including 10111, 112, or similar) may not always complete via vehicle systems; and (5) wireless transmissions cannot be guaranteed as fully secure.

Certain in-vehicle features may require enhanced connectivity at an additional cost. We will notify you of material additional costs. Purchase and use of such features are subject to applicable payment terms.

10. Other Applicable Rapid Reset Terms

Your use of particular Services may also be governed by additional terms, including terms for vehicle purchase or reservation, charging, payment, vehicle service, roadside assistance, warranties, Gear Shop purchases, subscriptions, artificial intelligence features, and business or fleet portals. Those terms are incorporated into these Rapid Reset Terms where applicable. If there is a conflict, the more specific terms control for that Service.

11. Third-Party Partner Terms

Rapid Reset may enable access to third-party services (including roadside assistance, service, connectivity, charging, maps, and other products) via vehicles, apps, and the Sites. Those partners may have their own terms and privacy policies. Your use of those services is subject to those agreements where applicable.

12. Termination

Rapid Reset may suspend or terminate access to online Services where reasonably necessary, including for security, fraud prevention, breach of these Rapid Reset Terms, or legal compliance. Where you are a consumer and the CPA requires notice or a cooling-off or similar right, we will comply with those requirements. Provisions that by their nature should survive termination will survive.

13. Updates to these Terms

We may update these Rapid Reset Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date, and where required by law we will provide additional notice. Continued use of the Sites or Services after the effective date of updated terms constitutes acceptance, except where South African law requires a different form of consent for particular changes.

14. Governing Law and Language

These Rapid Reset Terms, their subject matter and formation, and any related non-contractual disputes or claims, are governed by the laws of the Republic of South Africa, without regard to conflict-of-law rules that would apply another country’s law.

These Rapid Reset Terms are provided in English. If translated, the English version prevails to the extent permitted by law, except where a consumer protection statute requires otherwise.

15. Ownership of Environmental Attributes

To the fullest extent permitted by South African law, Rapid Reset retains rights to Environmental Attributes connected with Rapid Reset’s provision and sale of, and your receipt or use of, the Services, except where a statute, regulation, or signed contract provides otherwise.

“Environmental Attributes” means environmental attributes attributable to the Services, including credits, benefits, emissions reductions, offsets, allowances, or similar instruments under South African carbon tax, electricity, or environmental schemes, or voluntary markets, but excluding tax incentives to which you are personally entitled under South African tax law unless assigned by written agreement.

16. Rapid Reset’s Intellectual Property

Rapid Reset owns or licenses the Sites, apps, Content, trademarks, logos, designs, and related materials. Nothing in these Rapid Reset Terms transfers ownership of Rapid Reset’s intellectual property to you. Content is protected under the Copyright Act 98 of 1978, the Trade Marks Act 194 of 1993, and other applicable law.

Subject to your compliance with these Rapid Reset Terms, Rapid Reset grants you a personal, non-exclusive, non-transferable, revocable, limited licence to use the Sites, apps, and Services for personal or internal use only. You may not copy, modify, reverse engineer, sell, sublicense, or otherwise exploit the Services except as expressly permitted.

17. User Content and Standards

If you submit text, graphics, photos, or other materials (“User Content”), you grant Rapid Reset a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, and display that User Content in connection with operating and promoting the Services, for as long as reasonably needed for those purposes. Where moral rights apply under South African copyright law, you consent to Rapid Reset performing acts that might otherwise infringe those moral rights, to the extent such consent is permitted.

You must not post content that is unlawful, defamatory, obscene, hateful, discriminatory, infringing, or otherwise inappropriate. You are solely responsible for your User Content. Rapid Reset may remove content and cooperate with South African law enforcement where required.

By submitting ideas or suggestions (“Contributions”), you acknowledge that Rapid Reset may use them without obligation or compensation, unless a separate written agreement says otherwise.

18. Rapid Reset Applications

Licence and restrictions

Subject to these Rapid Reset Terms, Rapid Reset grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable licence to download, install, and use Rapid Reset mobile or other applications (“Rapid Reset Apps”) on devices you own or control, solely in connection with Rapid Reset products or services. You must not reverse engineer, rent, resell, circumvent security, introduce malware, or use the Apps for unlawful purposes.

App stores

Availability of Apps may depend on Apple App Store, Google Play, or other stores. These Rapid Reset Terms are between you and Rapid Reset, not the app store, except for third-party beneficiary rights required by the store (for example, Apple).

Safety

Do not use Rapid Reset Apps while driving if doing so would distract you or breach the National Road Traffic Act 93 of 1996 or related regulations. Observe all traffic laws and use Apps only when it is safe and lawful to do so.

Information collection

When you use Rapid Reset Apps, we may collect device and usage information as described in our Privacy Policies, in compliance with POPIA.

19. The Sites

Third-party links

The Sites may contain links to third-party websites. Links are for convenience only and do not imply endorsement. Rapid Reset is not responsible for third-party sites, merchants, or transactions.

Collection of information

We may use cookies and similar technologies and collect information as described in our Privacy Policies. By using the Sites, you acknowledge that processing of personal information is subject to POPIA and our Privacy Policies.

Children

The Sites are not directed at children under 18. We do not knowingly collect personal information from children without a competent person’s consent as required by POPIA. If you are under 18, use the Sites only with the involvement of a parent or guardian.

No reliance / forward-looking statements

Content on the Sites is general information and is not professional, financial, or investment advice. Forward-looking statements about products, timelines, or performance are subject to change and involve risk. Do not place undue reliance on them.

South Africa focus

Rapid Reset operates from South Africa. The Sites are directed primarily at persons in South Africa. Information you provide may be processed in South Africa and, where necessary and lawful under POPIA, transferred to service providers in other countries with appropriate protections.

Access

We do not guarantee uninterrupted availability of the Sites. Access is provided on a temporary basis. You may use the Sites only for lawful purposes.

20. Artificial Intelligence Features

Certain Services may integrate artificial intelligence features to personalise or improve experiences. Use of those features may be subject to additional AI terms. We will endeavour to notify you when a Service uses AI in a material way. AI outputs may be inaccurate or incomplete; use them with appropriate judgment and do not rely on them as the sole basis for safety-critical decisions.

21. Warranties

To the fullest extent permitted by law, the Sites and Rapid Reset Apps are provided on an “as is” and “as available” basis. Rapid Reset does not warrant that the Sites or Apps will be error-free or free of viruses or other harmful components.

Nothing in this section limits the implied or statutory warranties and remedies available to consumers under the CPA in respect of goods or services supplied in the ordinary course, including the right to safe, good-quality goods and services performed in a manner and quality that persons are generally entitled to expect, subject to the CPA’s qualifications.

Certain digital Services (for example route planning) depend on third-party data and variable conditions (weather, traffic, load, battery state, charger availability). Estimates may be incomplete or inaccurate.

22. Copyright Complaints (South Africa)

If you believe content on the Sites or Services infringes your copyright under the Copyright Act 98 of 1978, please send a written notice to legal@rapidreset.co.za including:

  • your name, physical address, telephone number, and email address;
  • identification of the copyright work claimed to be infringed;
  • identification of the allegedly infringing material and its location on the Services;
  • a statement that you have a good-faith belief that the use is not authorised; and
  • a statement that the information in the notice is accurate and that you are the owner or authorised to act for the owner.

We may remove or disable access to material in accordance with South African law and, where appropriate, notify the user who posted it. Counter-notices and restoration will be handled in line with applicable law and our policies.

23. Data Processing for Requested Services

By using certain vehicle and app features, you acknowledge that those features require collection, use, sharing, and retention of personal information and vehicle data to function, as described in our Privacy Policies. You instruct Rapid Reset to process such data as necessary to provide the Services you request, improve safety and performance, and meet legal obligations, in accordance with POPIA.

Examples may include driver-assistance features, profiles, charging and navigation features, phone-as-key connectivity, security monitoring, voice controls, and diagnostics or maintenance services.

24. Vulnerability Reporting

If you wish to report a security vulnerability or concern, please email security@rapidreset.co.za. Please include enough detail for us to reproduce and assess the issue. Do not exploit vulnerabilities beyond what is needed to demonstrate the issue, and do not access other users’ data.
